Docket: UWY-CV22-6073236-S (Waterbury Complex Litigation Docket).

Status: LIVE but on hold. Greenrose has been in bankruptcy since at least June 2024 (affidavits filed June 2024, April 2025, November 2025 and May 2026); a new general case management order entered September 8, 2026.

Parties. Plaintiff Shareholder Representative Services LLC of Denver, acting for the former Theraplant members entitled to merger consideration. Defendants The Greenrose Holding Co. Inc. (formerly Greenrose Acquisition Corp.), William F. Harley, Daniel Harley, Paul Otto Wimer, Timothy Bossidy and DXR Finance, LLC d/b/a Silver Point Capital.

What the complaint says. Under the March 12, 2021 merger agreement and its amendments, Greenrose acquired Theraplant through a merger subsidiary. The first count alleges Greenrose breached the agreement by failing to make the deferred cash payment owed to the selling securityholders. Later amendments added the individual defendants and Greenrose’s lender.

What happened. Filed July 5, 2022 in Hartford and amended August 3, 2022 with a prejudgment-remedy application. Judge James Graham entered orders restraining disposal of assets in September and October 2022. DXR Finance was allowed to intervene in October 2022. The plaintiff moved for summary judgment in December 2022. In 2023 the plaintiff was allowed to file a second amended complaint and to cite in additional defendants, who were served in June 2023; the case was referred to the complex litigation docket and transferred to Waterbury in September 2023. On December 15, 2023 Judge Pierson accepted a stipulation and entered an order for prejudgment remedy allowing the plaintiff to attach Greenrose’s assets without bond. The operative pleading is the revised second amended complaint of January 16, 2024. Discovery fights over requests for admission and depositions ran through 2024, including a sanctions motion heard June 24, 2024. On June 21, 2024 an affidavit that Greenrose was in bankruptcy was filed, and the court has since checked periodically; further bankruptcy affidavits were filed April 2025, November 2025 and May 2026. Judge Carletha Parkinson entered a general case management order September 8, 2026.

Status. Live, held up by Greenrose’s bankruptcy.
